Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you” or “Customer”) and Flux IT Systems, LLC(“Ping Monitor Pro,” “we,” “us”) governing your use of the Ping Monitor Pro website, dashboard, and Monitor Agent software (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Ping Monitor Pro is a host-monitoring platform. You install one or more Monitor Agents on your networks; each agent periodically sends ICMP echo requests (“pings”) to hosts you configure and reports the results to our dashboard, which displays status and can send you alerts. Monitoring is provided on a best-effort basis and is a supplement to, not a replacement for, your own operational safeguards.
2. Accounts and eligibility
- You must provide accurate information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must be at least 18 years old and able to form a binding contract.
- Notify us promptly at support@pingmonitorpro.com of any unauthorized use.
3. Trials, billing, and cancellation
- Free trial. Paid plans include a 10-day free trial. A valid payment method is required up front to start the trial.
- Auto-billing. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method is charged the then-current fee. Subscriptions renew automatically each billing period until cancelled.
- Cancellation. You may cancel at any time from the billing area. Cancellation stops future charges; it takes effect at the end of the current paid period.
- Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods.
- Price changes. We may change our fees; we will give you advance notice, and changes take effect on your next renewal.
- Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
4. Acceptable use
You may only monitor hosts that you own or control, or that you are expressly authorized to monitor. You agree not to use the Service to:
- Probe, scan, or monitor networks or systems without authorization.
- Conduct or facilitate denial-of-service attacks, penetration testing without consent, or any activity that disrupts or overloads a third party’s systems.
- Violate any law or regulation, or infringe the rights of others.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Reverse-engineer, resell, or redistribute the Service except as permitted by these Terms.
- Interfere with the integrity or performance of the Service.
We may suspend or terminate access for violations of this section.
5. The Monitor Agent
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run the Monitor Agent on systems you control, solely to use the Service. The agent may check for and apply updates. You agree not to tamper with, decompile, or redistribute the agent. The agent software remains our property and is licensed, not sold.
6. Plan limits and fair use
Each plan includes limits on agents, monitored hosts, team members, and data-retention windows. You agree to stay within your plan’s limits. We may enforce limits, throttle, or require an upgrade if your use materially exceeds them or degrades the Service for others.
7. Your data
You retain all rights to the data you submit and generate through the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for the accuracy and legality of your Customer Data and for having the rights necessary to monitor the hosts you configure.
8. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Flux IT Systems, LLC and protected by intellectual-property laws. These Terms grant you no rights in our trademarks or branding.
9. Service availability
We strive to keep the Service available and reliable, but it is provided “as is” and we do not guarantee any specific uptime on standard plans. We may perform maintenance, and we may modify or discontinue features. We will use reasonable efforts to notify you of significant changes.
10. Third-party services
The Service relies on third parties (such as Stripe for payments and Cloudflare for email delivery). Your use of those services may be subject to their terms, and we are not responsible for third-party services.
11. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that monitoring will be uninterrupted, error-free, or that every outage will be detected or alerted. You remain responsible for your own monitoring redundancy and incident response.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
13. Indemnification
You agree to indemnify and hold harmless Flux IT Systems, LLC from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or of any law or third-party right, including monitoring hosts without authorization.
14. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends and we may delete your Customer Data in accordance with our retention practices. Sections that by their nature should survive (including Sections 7–13) will survive termination.
15. Changes to these Terms
We may update these Terms from time to time. For material changes we will provide notice (such as an email or an in-app notice) and update the “Last updated” date. Continuing to use the Service after changes take effect means you accept the revised Terms.
16. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You and Flux IT Systems, LLC agree to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida for any dispute not subject to arbitration.
